Re: Project Albion — UK acquisition of Ashanti Gold subsidiary
1. Executive summary. The Board is asked to approve the proposed acquisition, subject to the conditions set out in §5 and the risk register at Annex B.
2. Regulatory posture. The transaction triggers filings with the Bank of Ghana, the Ghana Revenue Authority, the UK FCA and the CMA. Indicative clearance window: 90–120 days.
3. Tax structuring. A UK-Mauritius-Ghana holding chain is recommended, leveraging the 2014 DTAA, subject to substance and PPT requirements.
4. AML / KYC. Enhanced due diligence is required on three identified PEPs in the target group structure.
